A legal person, such as a public limited company, a private limited company or an association, is obliged by law to draw up articles of association. Articles of association<\/a> are laid down in a deed of incorporation drafted and passed by a civil-law notary.<\/p>\n

Provisions<\/h2>\n

The articles of association state the basic principles of a legal person. The most important articles consist of the legal person\u2019s name and seat, the objective, the sum of the capital and the number of shares to be divided, the shareholders\u2019 register, the acquisition, transfer and obligation to offer shares, articles about the board of directors, the adoption of the annual accounts, provisions about the general shareholders\u2019 meeting and many more. More often than not, these types of deeds need to be translated by a certified translator<\/a>.<\/p>\n

Often, articles of association are more of the same. This means that I will not charge you for the parts in texts that I’ve already translated. Also, I will let you know when I suspect a definition or sentence in the source text is incorrect. I am specialised in legalese and the current regulations and legislation, because as a certified translator \u2013 just like lawyers \u2013 I am required to follow regular courses and training to stay up to date.<\/p>\n
